Website Warranty Terms

These Website Warranty Terms are issued by Highrise Digital Ltd, a company registered in England and Wales under company number 09989726 (“Highrise Digital”, “we”, “us” or “our”). Our registered-office and other corporate details are available on our Company Information page.
These terms apply only to customers acting in the course of a business, trade or profession. They do not apply to consumers.
These terms explain the limited warranty provided with websites developed by us. They form part of the agreement between you and Highrise Digital and should be read alongside:
- the proposal, specification, statement of work or other document describing the agreed website project (the “Proposal”); and
- our Terms and Conditions.
Terms defined in our Terms and Conditions have the same meaning in these Website Warranty Terms unless stated otherwise.
Length of the warranty
Unless a different period is stated in the Proposal, a website developed by us will have a warranty period of one calendar month.
The warranty begins on the date the website is first made publicly accessible on its intended live domain (the “Go-Live Date”). A delayed announcement, marketing launch, content update or handover will not change the Go-Live Date unless we agree otherwise in writing.
If you report a covered issue in accordance with these terms before the warranty period expires, the issue will remain eligible for correction even if the necessary work is completed after the warranty period has ended.
Additional or ad hoc work carried out after the Go-Live Date will not restart or extend the warranty period unless the Proposal or another written agreement expressly says that it will.
What the warranty covers
The warranty applies to the work expressly included in the agreed scope set out in the Proposal.
During the warranty period, we will investigate and, where an issue is covered, take reasonable steps to correct without additional charge:
- reproducible bugs or errors caused by code, configuration or implementation supplied by us;
- website functionality supplied by us that does not operate materially as described in the agreed scope;
- functionality expressly included in the agreed scope that was unintentionally omitted or not delivered; and
- material display or usability problems on browsers, devices and screen sizes expressly identified as supported in the agreed scope.
The warranty relates to whether the website materially delivers the agreed scope. It is not a guarantee that the website will be completely free from minor defects or operate without interruption in every possible environment.
What the warranty does not cover
Unless expressly included in the Proposal, the warranty does not cover:
- new features, enhancements, design revisions or changes to the agreed requirements;
- changes based on personal preference where the website materially matches an approved design or specification;
- minor or cosmetic issues that do not materially affect the operation or agreed use of the website;
- problems caused by inaccurate, incomplete, defective or unsuitable content, data, instructions or materials supplied or approved by you;
- problems caused by third-party integrations, plugins, themes, application programming interfaces, payment providers, email platforms or other third-party software or services;
- problems caused by hosting providers, domain names, DNS, internet connectivity, server outages or infrastructure not managed by us;
- problems caused by your actions, another supplier, misuse, unauthorised access, malware, compromised credentials or a failure to follow our reasonable instructions;
- changes made by browser, device, operating-system, search-engine or platform providers after the Go-Live Date;
- compatibility with browsers, devices, platforms or software versions outside those identified as supported in the agreed scope;
- newly discovered security vulnerabilities or software and security updates released after the Go-Live Date;
- problems caused by unusually high traffic, denial-of-service attacks or demands exceeding the capacity specified for the website or its hosting environment;
- development work that was not included in the agreed scope;
- ongoing maintenance, monitoring, backups, security scanning or emergency and out-of-hours support;
- search-engine rankings, website traffic, sales, enquiries, conversion rates or other commercial results, unless a specific measurable commitment is expressly included in the Proposal;
- accessibility standards or performance scores unless a specific standard or target is expressly included in the Proposal; or
- the addition, correction or modification of text, images, products, prices or other website content.
If an issue has more than one cause, the warranty will apply only to the extent that the issue was directly caused by work carried out by us.
Changes made after the Go-Live Date
The warranty may not apply to an issue where any of the following has caused or contributed to it:
- The website codebase has been changed by someone other than us.
- A plugin, theme, integration or other software component has been installed, removed, updated or reconfigured without our involvement.
- WordPress core, a plugin, a theme or the website’s hosting environment has been changed or updated by you or another supplier.
- The website has been used contrary to our reasonable instructions or for a purpose for which it was not designed.
- We have not been given the information, access or reasonable cooperation needed to investigate the issue.
A change will not invalidate the entire warranty merely because it has been made. It will affect a claim only to the extent that the change caused or contributed to the issue, or materially prevented us from diagnosing or correcting it.
Third-party software and services
Websites commonly rely on third-party software and services that we do not own or control. We will use reasonable care and skill when configuring or integrating those components as part of the agreed scope, but we cannot guarantee their continued availability, compatibility, security or operation.
A failure in a third-party component will not itself be treated as a defect in our work. However, the warranty may cover an error in the way we implemented or configured that component where the error was caused by us and existed at the Go-Live Date.
Your responsibilities
To help us investigate and resolve a warranty claim, you must:
- test the website and report suspected issues promptly;
- provide accurate information about the issue and how it can be reproduced;
- give us the access, credentials and cooperation reasonably required to investigate;
- avoid making changes that could overwrite evidence or make the issue more difficult to diagnose;
- take reasonable steps to reduce or prevent further loss or disruption; and
- maintain appropriate backups where responsibility for backups has been assigned to you.
We will not be responsible for a delay in investigating or correcting an issue caused by your failure to provide the information, access or cooperation reasonably required.
How to make a warranty claim
To make a warranty claim, you must notify us in writing before the warranty period expires.
Where a Trello board or another project-management system has been provided for the project, you should add the issue there and notify the relevant Highrise Digital contact. Alternatively, you may email support@highrise.digital.
Please provide as much of the following information as reasonably possible:
- a clear description of the issue;
- the page, component or feature affected;
- the steps required to reproduce the issue;
- relevant screenshots, screen recordings or error messages;
- the device, operating system and browser being used; and
- when the issue was first noticed.
An informal mention during a meeting, telephone call or conversation will not normally count as a warranty claim unless we confirm in writing that the issue has been recorded.
A claim will not be rejected merely because some supporting information is unavailable when it is first submitted, provided that the written notice reasonably identifies the issue and is received before the warranty period expires.
How a warranty claim will be resolved
We will assess the reported issue and determine, acting reasonably, whether it is covered by the warranty.
If the issue is covered, we will correct the defect or supply the omitted agreed functionality within a reasonable period, taking into account its severity, complexity and effect on the website.
We may choose the technical method used to resolve the issue, provided that the resulting website materially meets the agreed scope. A correction may include repairing, replacing, reconfiguring or reperforming the affected part of our work.
If our investigation shows that an issue is not covered, we will explain why. Further investigation or corrective work may be chargeable at our applicable rates, but we will obtain your approval before carrying out chargeable work unless it is already covered by another agreement.
Our obligation to carry out warranty work may be suspended while any undisputed amount relating to the project is overdue. A suspension for non-payment will not extend the warranty period, although a valid claim submitted before the warranty expires will remain recorded.
Availability and future compatibility
Websites depend on software, networks, hosting environments and third-party systems. Although we will perform our services with reasonable care and skill, we cannot guarantee that a website will operate continuously, remain completely error-free or remain compatible with every future technology.
Unless the Proposal expressly states otherwise, the warranty does not amount to a service-level agreement and does not guarantee a particular response time, resolution time, level of availability or period of uninterrupted operation.
After the warranty period
After the warranty period expires, investigation, support, maintenance, corrections and further development may be charged at our applicable rates or provided under a separate retainer, support, hosting or maintenance agreement.
We will obtain your approval before beginning chargeable work unless that work is already covered by an existing agreement.
The website warranty is not an ongoing maintenance, monitoring, backup or support service.
Relationship with other contract documents
If there is an inconsistency between the documents forming the agreement, the following order of priority will apply in relation to the website warranty:
- any project-specific warranty provision expressly stated in the Proposal;
- these Website Warranty Terms; and
- our Terms and Conditions.
Our Terms and Conditions continue to apply to matters including payment, intellectual property, confidentiality, liability, termination, notices and governing law.
Legal rights and liability
These Website Warranty Terms provide a contractual process for correcting covered issues. They do not replace our obligation to perform the services with reasonable care and skill.
The exclusions and limitations of liability contained in our Terms and Conditions apply to the website warranty and any warranty claim.
Nothing in these Website Warranty Terms excludes or limits any right, remedy or liability where doing so would be unlawful.
